The Services we provide:

 

Our mission is to provide a source of affordable and easily accessed rich training information to managers or those staff wanting to grow into managers.  

To build a community based resource and communication network between experience and apprenticeship, in effect, creating a mentoring network. 

We are not specific to any particular business type but are aimed at general business management and particularly people management skills.

TheHappyManagers is an online training and mentoring resource for Managers.  Its purpose is to create a community that allows managers at all levels to get training and also a community that can support the growth of great managerial skills. These Terms govern your use of TheHappyManagers website, Forums, Podcasts, training material and all other Services and features offered by TheHappyManagers,except where we expressly state that separate terms (and not these) apply.  These Services are provided to you by TheHappyManagers, Ltd.

Much of the content of TheHappyManagers is free to consume but we do also support premium content that is paid for at varying levels of contribution.    To support this process going forward TheHappyManagers reserves the right to alter which content is available at which level and also to introduce other mechanism of paying for the delivery of this content where  appropriate.  Such mechanisms could be advertising, sponsorship or any other appropriate mechanism. 

We don’t sell your personal data to advertisers, and we don’t share information that directly identifies you (such as your name, email address or other contact information) with advertisers unless you give us specific permission.   We do, however reserve the right to use that data to determine if advertising might be appropriate for you. 

Currently there is NO advertising on the site, but we do reserve the right to change this if it is deemed necessary to grow or continue the services to you.

Provide affordable services:

The desire is to keep the training resources,
information and network as affordable as possible whilst at the same time
sustainable.

Services will range from free content to a top level that should be affordable by any single person in employment and an easy decision for any  business that wants to invest in their staff.

Because of the different levels of contribution there will be different levels of  content and service availability and this might change at any time in accordance with the desire to keep prices low and allow maximum access to all the content.

Provide a personalized experience for you:

Your experience on  TheHappyManagers is designed to be as personal as possible. 

Much of the content will be mass delivered but almost every post will be backed with discussion forums where a very personal interaction and exchange can be obtained by you.  We use the data we have and what you share and do on and off our services – to personalize your experience where ever possible.

Take part and contribute to the community:

TheHappyManagers is designed to be a
community of contribution, where the content, direction and even to some degree
operational model is guided by the community. 
To this end mechanisms are in place to allow contribution from all
parties into the community.

This may be from simply posting your thoughts about a topic into a forum or could be as deep as contributing an entire course material and curriculum.  Contributing Video, Audio, Image or documented content.

Protection of intellectual properties rights:

In providing the ability for a member (Patron) of the sites services to contribute and offer content of all varieties for consideration on the site, there comes a responsibility of ownership of that content and the possible disruption of business and sites patron’s consistency of learning.

TheHappyManagers understakes that all Intellectual and other rights assigned to content contributed to the sites services by way of a Patron of the site will remain in the ownership of the contributor or such person who has those rights before contribution.

In turn the contributor will guarantee that they do in fact own or have license allowing them to contribute the content to
the sites members for consumption and use and indemnify TheHappyManagers for such use. 

They will also in the act of submitting the content to the site give TheHappyManagers an unlimited license to use the content legally and without claim within the Sites and services of TheHappyManagers.

However re-license or distribution rights shall never be passed to TheHappyManagers and shall remain with the original
owners.

The purpose of this is to ensure that all content contributed to TheHappyManagers is not in breach of anyone’s Intellectual property rights and that those rights remain unchanged after contribution other than the TheHappyManagers rights to use that content.  

Any content contributed to the site will be removed from the site upon request of the contents owner but in a manner and timeliness that does not impact the other users and Patrons of TheHappyManagers.  An example of this might be that a course contributed and then asked to be removed would be closed to new participants immediately but not removed from the site until those already enrolled had completed the course.

Empower you to express yourself and
communicate about what matters to you:

TheHappyManagers hopes to be a rich source of opinion and ability for you to express yourself whilst learning.  We encourage contribution of content and active participation in forums and discussions.

Use of  technology to provide safe and functional services:

TheHappyManagers may introduce and use technology solutions at any time to enhance the delivery of safe and supportive services to the community.  Your data  may contribute to the operation of these
technologies.

Such technologies may for example be language monitoring through heuristic analysis of posts on site. But are not limited to just this technology.

Global access to our services:

TheHappyManagers is designed to be a Global
community and as such our operations may need to span global systems.

Data may be stored and executed upon from
numerous sites around the world.

This infrastructure may be operated or controlled by TheHappyManagers Ltd or by affiliate service providers.

Combat harmful conduct and protect

Our desire is that TheHappyManagers be a safe and vibrant community.

We will employ moderator teams to ensure all content is appropriate and contributes to the lively environment of the community. 

Discouraging vigorous debate is not the
purpose and freedom of speech will be protected on the site to the extent it
allows a lively and educational environment, but not to the extent where the
sites content is damaging to any members growth and feeling of safety. 

We strongly believe in different views and
ideas being discussed and at times this might be vigorous but we urge all of
our patrons to understand a discussion is not a battle and all side do not have
to relinquish their point of view to end a discussion.

We will reserve the rights to remove content, posts and patron’s from the sites services if need be to ensure a safe place for the community as a whole but will attempt to discuss and modify any disturbing behaviour in the first instance.

How our services are funded

TheHappyManagers is a subscription service and is funded entirely by Patron (Subscription) contributions at the current
date of this document.  There is no advertising or sponsorship on the site as of today.

Subscribers are referred to internally as Patron’s because the services is designed to work for the subscribers not the business itself and provide a service and educational level at a price well below normal educational profit based organisations.

As such commercialisation beyond the necessary requirements for viable continuation of the services will be resisted.

However TheHappyManagers reserves the right to extend, modify or change its financial model at any time in the future where it feels the modification of this may aid in supplying extremely affordable coaching and mentoring material to the subscribers at an affordable price or increase the sustainability of the sites services. Such changes are not limited too but may, as an example, include sponsored content or advertising on the site.

Your commitments to TheHappyManagers and our community

We provide these services to you and others to help advance the level of management skills of our patrons. In exchange, we need you to make the following commitments:

You can request the deletion of any content contributed
and this will be done in a timely manner that does not impact other users of
the site except where:

  • In the case where another Patron has down
    loaded or has an offline copy of your content the license will remain in force
    until it is deleted.
  • TheHappyManagers or an affiliate needs to comply
    with a legal obligation, such as the preservation of evidence; or

     

    • comply with a request of a judicial or
      administrative authority, law enforcement or a government agency. In each of the above cases, this license
      will continue until the content has been fully deleted.
  • You give us permission to use your name and
    details within the site and services where appropriate.
     
    • Permission to update software you use or
      download: If you download or use our software, you give
      us permission to download and install updates to the software where available.

Limits on using our intellectual property

If you use content covered by intellectual property rights that we have and make available in our services (for example, images, designs, videos, or sounds we provide that you add to content you
create or share on TheHappyManagers), we retain all rights to that content (but not yours). You can only use our copyrights or trademarks as expressly
permitted by us or with our prior written permission. You
must obtain our written permission (or permission under an open source license) to modify, create derivative works of,  decompile, or otherwise attempt to extract source code from us.

What you can share and do on TheHappyManagers

A large part of the ethos of  TheHappyManagers
is to create a vibrant and supportive community that can become a link between
experience and  apprenticeship, a mentoring environment.  To that end there are some limitations of
what is allowable as contribution to the sites content.

  • You may not upload viruses or malicious code or do anything that could disable, overburden, or impair the proper working or
    appearance of our Services.
  • You may not introduce any Services or posts designed to move content away from TheHappyManagers
  • Make any posts that are  unlawful, misleading,  discriminatory or fraudulent.
  • or that infringes or violates someone else’s
      • rights, including their intellectual property rights.
      • That violate the Community Standards of TheHappyManagers.

We reserve the right to remove content that
is in violation of these conditions.

The permissions you give us

We need certain permissions from you to provide our services:

Permission to use content you create and share: Some content that you share or upload, such as photos or videos, may be protected by intellectual property laws.
You own the intellectual property rights (things like copyright or trademarks) in any such content that you create and share on TheHappyManagers sites and
services. Nothing in these Terms takes away the rights you have to your own content. You are free to share your content with anyone else, wherever you want.

However, to provide our services we need you to give us some legal permissions (known as a ‘license’) to use this content. This is solely for the purposes of providing and improving our Services and services as described in the Section above.

Specifically, when you share, post, or upload content that is covered by intellectual property rights on or in connection with our Services, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content. This means, for example, that if you share a photo on TheHappyManagers, you give us permission to store, copy, and share it with others.  This license will end when your content is
deleted from our systems.

Who can use TheHappyManagers

When people stand behind their opinions and actions, our community is safer and more accountable. For this reason, you must:

  • Provide accurate information about yourself.
  • Create only one account (your own).
  • Not share your password, give access to your TheHappyManagers
    account to others, or transfer your account to anyone else (without our
    permission).
  •  

TheHappyManagers is mostly available to everyone, but you cannot use TheHappyManagers if:

  • We’ve previously disabled your account for violations of our Terms or Policies.
  • You are prohibited from receiving our Services,
    services, or software under applicable laws.
  • You are under 16 years old .

Additional provisions

1. Updating our Terms

We reserve the right to update our terms as is necessary from time to time and will announce this publicly via the forums of TheHappyManagers.

It is considered your responsibility to read the changes at that time.

2. Account suspension or termination

We want TheHappyManagers to be a place where people feel welcome and safe to express themselves and share their thoughts and ideas.

If we determine that you have clearly, seriously or repeatedly breached our Terms or Policies, including in particular our Community Standards, we may suspend or permanently disable access to your account. We may also suspend or disable your account if you repeatedly infringe other people’s intellectual property rights or where we are required to do so for legal reasons.

Where we take such action we’ll let you know and explain any options you have to request a review, unless doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems or Services; or where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons.

3. Limits on liability

We work hard to provide the best Services we can and to specify clear guidelines for everyone who uses them. Our Services, however, are provided “as is,” and we make no guarantees that they always will be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections. To the extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline) or any content they share (including offensive, inappropriate, obscene, unlawful, and other objectionable content).

We cannot predict when issues might arise with our Services. Accordingly, our liability shall be limited to the fullest extent permitted by applicable law, and under no circumstance will we be liable to you for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms or the TheHappyManagers Services, even if we have been advised of the possibility of such damages.

4. Disputes

We try to provide clear rules so that we can limit or hopefully avoid disputes between you and us. If a dispute does arise, the first point of resolution should be contact with the directors of TheHappyManagers Ltd registered company in New Zealand.

To this purpose any dispute will be handled under the laws of the company of incorporation for TheHappyManagers ltd.

5. Other

  1. These Terms make up the entire agreement between you and TheHappyManagers, Ltd. regarding your use of our Services. They supersede any prior agreements.
    1. If any portion of these Terms is found to be unenforceable, the remaining portion will remain in full force and effect. If we fail to enforce any of these Terms, it will not be considered a waiver. Any amendment to or waiver of these Terms must be made in writing and signed by us.
    1. You will not transfer any of your rights or obligations under these Terms to anyone else without our consent.
    1. You may designate a person (called a legacy contact) to manage your account . Only your legacy contact or a person who you have identified in a valid will or similar document expressing clear consent to disclose your content upon death or incapacity will be able to seek disclosure from your account.
    1. These Terms do not confer any third-party beneficiary rights. All of our rights and obligations under these Terms are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
    1. We always appreciate your feedback and other suggestions about our Services. But you should know that we may use them without any restriction or obligation to compensate you, and we are under no obligation to keep them confidential.
    1. We reserve all rights not expressly granted to you.
